Terms of Service

1. Agreement to Terms

This agreement binds merchants and MerchantIQ regarding access to the platform. You confirm acceptance by creating an account or installing the Shopify app; business entities require appropriate authority.

2. Description of Services

MerchantIQ offers AI-powered shopping tools: SwitchIt™ provides conversational product-discovery overlays; Copilot delivers merchant dashboards with analytics; Cross-Store Memory shares anonymized shopper data; and API Access enables programmatic integration — all subject to modification with notice.

3. User Accounts

You must provide accurate registration information, maintain credential security, report unauthorized access, avoid account sharing, and accept responsibility for all account activity. We reserve the right to suspend or terminate accounts for violations.

4. Acceptable Use

Prohibited activities include selling illegal goods, reverse-engineering the platform, scraping data, disrupting infrastructure, circumventing security, generating deceptive AI content, unauthorized reselling, and violating laws. Violations may result in suspension without refund.

5. Payment and Billing

Subscriptions are charged monthly or annually in advance, with 30 days’ notice before price changes. A 14-day money-back guarantee applies to first-time subscribers; subsequent payments are non-refundable except as legally required. Failed payments trigger suspension after 7 days; taxes apply based on location.

6. Intellectual Property

MerchantIQ owns all platform intellectual property and grants a limited, non-exclusive, non-transferable license for internal business use. Merchants retain ownership of their data; MerchantIQ receives processing rights. Feedback you provide grants MerchantIQ unrestricted, royalty-free usage rights.

7. Third-Party Integrations

Integration with Shopify and other platforms subjects you to their respective terms. MerchantIQ disclaims responsibility for third-party availability or API changes and operates independently from Shopify, participating only in its Partner Program.

8. Disclaimers and Limitations

Services are provided “as is” without warranties as to interruption, accuracy, or fitness. Liability is capped at amounts paid in the 12 months preceding a claim; indirect or consequential damages are excluded to the fullest extent permitted by law.

9. Indemnification

You agree to defend MerchantIQ against claims arising from misuse of the services, content you provide, legal violations, or customer disputes. MerchantIQ may assume exclusive defense control with your cooperation.

10. Data and Privacy

The Privacy Policy governs data handling. Merchants act as data controllers for their customer information and must disclose AI-tool usage. Data Processing Agreements are available on request for GDPR-regulated merchants.

11. Modifications to Services

Features may be added, modified, or removed with 14 days’ notice for material changes. Emergency modifications may occur without notice for security or legal compliance. Pro-rated refunds apply if paid features are discontinued.

12. Changes to Terms

Material modifications receive 14 days’ advance email and in-platform notification. Continued use after changes constitutes acceptance; cancellation is permitted before the effective date.

13. Governing Law

These terms follow the laws of India, without regard to conflict principles. Exclusive jurisdiction lies with the courts of New Delhi, though you remain bound by applicable local regulations.

14. Dispute Resolution

Parties must first contact hello@merchantiq.ai with a written description of the dispute, allowing 30 days for good-faith resolution. Unresolved disputes proceed to binding arbitration under India’s Arbitration and Conciliation Act, 1996 — a single arbitrator, in English, at New Delhi — though injunctive relief remains available.

15. Severability

Invalid provisions are modified minimally for enforceability or severed, leaving the remaining terms intact. Non-enforcement does not constitute a waiver.
